Contributor License Agreement#

This Agreement governs the relationship between the Company and the Contributor, in which the parties assume the rights and obligations set forth in the text of the license agreement with the Contributor, hereinafter referred to as the Agreement:

Terms and definitions:

Contributions are the results of intellectual activity (including, but not limited to, source code, design entities, text, and documentation) that are elements of the Programs.

Programs are the specific software (specific computer programs) to which the Company has exclusive rights, as well as all new (subsequent) versions of such programs.

Contributor is, (1) if the Contribution is made by an individual on his or her own behalf, an individual with the requisite legal capacity who has accepted all of the terms of this Agreement; (2) if the Contribution is made by an individual on behalf of an entity as its employer, the applicable entity.

Company is Web Server, LLC, a legal entity registered under the laws of the Russian Federation (OGRN: 1227700436578) at the following address: Moscow, 119021, Lva Tolstogo, bld. 14, 1 floor, apt. 2.

Party is one of the parties to the Agreement, which is the Contributor or the Company.

1.The subject matter of this Agreement is that the Contributor grants to the Company the right to use the Contributions on the terms of a non-exclusive, royalty-free, irrevocable license, including all means expressly provided for and specified in this Agreement.

The license is granted for the entire duration of the exclusive right to the Contributions, and the permitted territory is all countries in the world.

Contributions may be provided by the Contributor to the Company (made) in any manner (on a tangible medium, in electronic form via email, in the form of a change request, or using the contribution transfer systems used on GitHub, GitLab, or other similar sites). Contributions shall be deemed made on the date the Company receives them.

As of the date of actual submission of the Contributions to the Company, the Contributor expresses full and unconditional agreement with all of the terms of this Agreement.

2. Public Use of the Contributions. The Company shall have the right to use the Contributions in the following ways:

2.1. use the Contributions for both commercial and non-commercial purposes in any Programs (both open and closed source); use the Contributions in any other results of intellectual activity, the rights to which belong to the Company;

2.2. make any changes, abridgements and additions to the Contributions, add comments, images or explanations to the Contributions when using them;

2.3. create any other (derivative) results of intellectual activity based on the Contributions;

2.4. translate the Contributions into other languages, including other programming languages;

2.5. distribute the Contributions in any way, including making the Contributions available to third parties, both directly and as part of any Programs, on an "AS IS" basis, without any warranties as to their operability and/or freedom from defects and errors;

2.6. conduct public displays that expose the Contributions to the public;

2.7. disassemble, decompile (convert binary code into source code), perform technical analysis of the Contributions.

2.8. use the Contributions without mentioning the author's name and/or pseudonym (anonymously).

3. The Contributor grants the Company a non-exclusive, royalty-free, perpetual, irrevocable license to the Contributor's patent rights in the territory of all countries in the world. This license includes all patent rights held by the Contributor.

4. Representations. The Contributor provides the Company with the following representations as to matters the Company deems material to the execution and delivery of the Agreement by the Company:

4.1. the Contributor has all the rights necessary to enter into the Agreement;

4.2. the Contributions provided by the Contributor to the Company have been personally developed by the Contributor, with the exception of Contributions, the exclusive rights to which are owned by other persons (rights holders), but which, with the consent of such rights holders, are distributed without the need for coordination with the rights holders and without payment to them, and the Contributor uses such Contributions legally;

4.3. the Contributions are not subject to any third party rights;

4.4. the Contributor has obtained the consent of the owners of the intellectual property rights (if any) contained in the Contributions for their use by the Company in the manner set forth in the Agreement;

4.5. the Company's further use of the Contributions in the form in which they are provided by the Contributor to the Company does not infringe any third party intellectual property rights or other legitimate interests and rights.

5. Responsibilities. If the Company becomes subject to any claims or lawsuits relating to the use of the Contributor's Contributions, the Contributor agrees to indemnify and hold the Company harmless from and against any and all losses the Company may incur as a result of such claims or lawsuits.

6. Limitation of Liability. All Contributions made by the Contributor to the Company are provided on an "AS IS" basis without any warranties whatsoever.

7. Trademarks. The Contributor may use the Company's logo and trademarks only with the prior written consent of the Company. To obtain such consent, the Contributor must send a letter to the Company's email address: .

8. Dispute Resolution and Governing Law. The Agreement shall be governed by and construed in accordance with the laws of the Russian Federation. If the Parties do not agree on the disputed issues, the dispute shall be subject to the jurisdiction of the courts of the Company's domicile, unless the law directly provides otherwise.

9. The Company is under no obligation to provide the Contributor with any reports on the use of the Contributions.

10. Agreement Language. This Agreement is written in Russian and English languages.

In case of any discrepancy between the Russian-language and the English-language versions of the Agreement, the Russian-language provisions shall prevail.

11. Entry into Force. This Agreement shall be deemed to be in effect and entered into by and between the Parties upon receipt by the Company of the Contribution from the Contributor in any form and by any means referred to in Section 1 of this Agreement. This includes, but is not limited to, receiving the Contribution to the Company's corporate accounts on the GitHub and/or GitLab websites.
